Partner Program Terms

These Referral Partner Program Terms ("Program Terms") are an agreement between Boxkat Rodent Barriers LLC ("Box-Kat," "we," "us") and the business that applies to our Referral Partner Program ("Partner," "you"). By submitting a partner application, you agree to these Program Terms on behalf of your business. Our Terms of Service also apply to your use of our Site and to any purchases you make.

1. Joining the Program

The program is free to join and has no minimums. It is open to businesses operating in the United States, such as repair shops, RV service centers, storage facilities, detailers, and dealers. The person applying must be at least 18 and authorized to agree to these Program Terms for the business.

We review every application and may approve or decline any application at our discretion. Each business may hold one partner account.

2. What You Receive

When you're approved, you receive a unique discount code, a referral link with its own QR code, and access to a partner dashboard where you can see your referrals, commissions, and payouts. We also send a printed partner kit (counter display, referral cards, and a Quick Start sheet) at no charge. Additional printed materials are available by email.

The partner kit is printed material only. It does not include a Box-Kat product.

3. Customer Discount

Your code gives your customers 10% off their purchase at box-kat.com. Customers must enter the code at checkout; it is not applied automatically.

Partner codes can't be combined with other discounts. During a sitewide promotion, the customer receives whichever discount is larger, and the order still counts as your referral as long as the customer uses your referral link or QR code.

4. Commission

You earn a commission of 10% of net product revenue on every sale attributed to you. "Net product revenue" means the product total after the customer's discount, not including shipping, taxes, or duties.

No commission is earned, or any commission already credited will be reversed, on orders that are cancelled, refunded, returned, or charged back, or that we reasonably believe are fraudulent or placed in violation of these Program Terms. For partial refunds, the commission is reduced in proportion.

5. How Sales Are Attributed

A sale is attributed to you when:

(a) the customer enters your discount code at checkout, whether or not they used your link; or

(b) the customer clicks your referral link or scans your QR code and completes a purchase within 30 days on the same device and browser.

If an order uses your code, the code decides attribution. Orders placed without your code or link can't be confirmed as referrals and don't earn commission. Our affiliate platform's records are final for attribution, but if you believe a sale was missed, email us and we'll look into it.

6. Payment

Commissions are paid monthly by PayPal through our affiliate platform, after the 30-day return window on each order has closed. You need an active PayPal account in the business's name to be paid.

You are responsible for any taxes on your commissions. We may ask for a completed IRS Form W-9 before paying, and we will issue tax forms (such as Form 1099) as the law requires. We may hold payments until we receive the information we need.

7. How to Recommend Box-Kat

Recommend Box-Kat honestly and in your own words, or use the materials we provide. When you describe the product:

(a) don't say it guarantees no mice or stops all rodents (it is designed primarily for house mice);

(b) don't say it seals to the floor (it follows the surface and helps minimize gaps);

(c) don't say the discount is applied automatically (the customer enters the code at checkout);

(d) don't make promises about results, refunds, warranties, or pricing beyond what box-kat.com states; and

(e) don't describe the product as a poison, trap, or pest-control service.

Disclose that you earn a commission. When you recommend Box-Kat in an email, on social media, on your website, or in any other public post, include a clear note that you earn a commission on sales, for example: "We're a Box-Kat referral partner and earn a commission when you buy with our code." A spoken recommendation at your counter doesn't need a written note, but if a customer asks, tell them.

8. Where You Can Share Your Code

Your code and link are for your own customers and your own channels, such as your counter, invoices, email list, website, and social media. You may not:

(a) post your code or link on coupon, deal, cashback, or discount-aggregator sites;

(b) run paid search or social ads that target the Box-Kat name or bid on Box-Kat brand terms;

(c) send email to people who haven't agreed to hear from your business, or send text messages without the recipient's consent;

(d) use your own code or link for your own purchases (see Section 10); or

(e) create websites, social accounts, or listings that could be mistaken for Box-Kat's own.

9. Logos, Photos, and Materials

While you are a partner, you may use the Box-Kat name, logos, photos, and copy we provide, only to promote Box-Kat under these Program Terms. Please don't alter our logos or photos, combine them with other brands in a way that suggests a partnership we haven't agreed to, or use them after your participation ends. We own all Box-Kat materials, and we may ask you to change or remove any material that uses them.

10. Your Own Purchases and Stocking Kits

Purchases made by you, your business, or your employees for your own use don't earn commission. If you'd like to keep kits on hand for customers, or place a bulk order, email michael@box-kat.com for partner pricing. Kits bought at partner pricing may be resold only as we agree in writing, and not through online marketplaces such as Amazon or eBay.

11. Customers and Their Information

Customers buy directly from Box-Kat, and we handle their orders, shipping, returns, and support. Please send order questions to hello@box-kat.com.

Your dashboard shows referral activity for commission purposes. We don't share customers' payment details with partners. Any customer information you do receive through the program may be used only to support that customer and may not be sold or shared.

12. Independent Businesses

You are an independent business. Nothing in these Program Terms creates an employment, agency, partnership, joint venture, or franchise relationship. You may not make commitments or statements on Box-Kat's behalf, and you are responsible for your own staff, expenses, and compliance with the laws that apply to your business.

13. Changes to the Program

We may change these Program Terms, including commission rates and the customer discount, by giving you at least 30 days' notice by email. Changes never apply to sales made before the change takes effect. If you don't agree to a change, you may leave the program before it takes effect.

We may change product prices or discontinue products at any time, as described in our Terms of Service.

14. Ending Participation

You may leave the program at any time by emailing michael@box-kat.com. We may end your participation at any time with notice by email, or immediately if you break these Program Terms.

When participation ends, your code and link are deactivated, and you must stop using Box-Kat promotional materials. Commissions earned on qualifying orders placed before the end date are paid on the normal schedule, except that commissions tied to fraud or a breach of these Program Terms are forfeited.

15. Limitation of Liability

To the fullest extent permitted by law, Box-Kat is not liable to you for any indirect, incidental, special, or consequential damages, or lost profits, arising from the program, including platform outages, tracking errors, or changes to the program. Our total liability to you under these Program Terms will not exceed the commissions paid to you in the 12 months before the claim.

You agree to indemnify Box-Kat against claims arising from your breach of these Program Terms or from statements you make about Box-Kat that we did not provide or approve.

16. General

These Program Terms are governed by the laws of the State of Washington. Any dispute will be brought in the state or federal courts in Snohomish County, Washington, after we have first tried to resolve it informally by email. These Program Terms and our Terms of Service are the entire agreement about the program. If any part is found unenforceable, the rest remains in effect. You may not transfer your partner account without our written consent. Notices to you go to the email address on your partner account; notices to us go to michael@box-kat.com.
